Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and The Virdi Co. ("Company," "we," "us," or "our") governing your access to and use of the CodeContext platform, including our website, APIs, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

Description of Service

CodeContext is a SaaS platform that provides a knowledge base for coding standards and API specifications, integrated with AI coding assistants via the Model Context Protocol (MCP). The Service allows teams to store, organize, and retrieve coding standards, API documentation, and best practices through both a web dashboard and AI assistant integrations.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

Account Terms

To use the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and use the Service.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Service in any manner that violates applicable laws, infringes on the rights of others, or is harmful to the Service or its users.

Subscription & Billing

CodeContext offers both free and paid subscription plans. By subscribing to a paid plan, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a recurring basis (monthly or annually, depending on your selection).

All fees are exclusive of applicable taxes, which will be added where required. You are responsible for providing accurate billing information and keeping your payment method current.

We may change our pricing with at least 30 days' notice before the start of your next billing cycle. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect.

Refunds are handled on a case-by-case basis. Contact us if you believe you are entitled to a refund.

Intellectual Property

The Service, including its original content, features, and functionality, is owned by The Virdi Co. and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without prior written consent.

Nothing in these Terms transfers any intellectual property rights from us to you, except for the limited license to use the Service as described herein.

User Content

You retain ownership of all content, data, coding standards, and API specifications that you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the Service to you and your organization.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any third-party rights or applicable laws.

We do not claim ownership of your User Content. Upon termination of your account, we will make your User Content available for export for a reasonable period, after which it may be deleted.

API & Integration Terms

The Service provides APIs and integrations, including MCP server integration, for programmatic access to your data. Your use of our APIs is subject to these Terms and any additional API-specific documentation.

You agree to use the APIs responsibly and within any rate limits or usage quotas associated with your plan. We reserve the right to throttle or suspend API access if your usage negatively impacts the Service for other users.

API keys are confidential credentials. You are responsible for keeping them secure and must not share them publicly or embed them in client-side code.

Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

Termination

You may cancel your account at any time through the Service's settings or by contacting us. Upon cancellation, your access to the Service will continue until the end of your current billing period.

We may suspend or terminate your access to the Service immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Your use of the Service is at your sole risk.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE VIRDI CO., ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless The Virdi Co. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which The Virdi Co. is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

We encourage you to review these Terms periodically. The "Effective date" at the top of this page indicates when these Terms were last updated.
